These Terms & Conditions ("Terms") govern your access to and use of COREHUB™ and any associated SkillVantage Enterprise products and services, including the ORU™ Learning Intelligence system, CoachHub™, the NOVA™ Coaching Framework, and IntelliSkill™ (collectively, the "Platform"), operated by SkillVantage Enterprise ("we," "us," or "our").

By creating an account or using the Platform in any way, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into a binding agreement.

2. Account Registration

• You must provide accurate, complete, and current information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You must notify us immediately at support@skillvantageenterprise.com if you suspect unauthorized access to your account.
• We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

3. Use of the Platform

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Platform in any way that violates applicable federal, state, local, or international laws or regulations.
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Platform without our express written permission.
• Attempt to gain unauthorized access to any part of the Platform or its related systems.
• Upload or transmit any malicious code, viruses, or harmful data.
• Interfere with or disrupt the integrity or performance of the Platform.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

4. Coaching Services

• COREHUB™ connects users with coaching professionals and provides AI-assisted readiness and capability assessments. Coaching engagements are facilitated through the Platform but are conducted between the coach and the client.
• Coaches on the Platform are independent professionals. SkillVantage Enterprise does not employ coaches and is not responsible for the content, quality, or outcome of any coaching engagement.
• AI-generated insights provided by Cenna™ are advisory in nature and do not constitute professional, legal, medical, or financial advice.
• You acknowledge that results from coaching and assessments vary and are not guaranteed.

5. Learning & Training Services

• The ORU™ Learning Intelligence system provides access to training modules, certifications, and readiness academies.
• Course content is provided for educational purposes. Completion of a module or certification does not guarantee employment, promotion, or any specific professional outcome.
• You may not distribute, reproduce, or share course materials outside the Platform without written permission from SkillVantage Enterprise.

6. AI Disclosure — Cenna™

The Platform uses Cenna™, SkillVantage Enterprise's AI intelligence partner, to personalize coaching matches, analyze assessment data, surface capability insights, and support learning journeys. By using the Platform, you expressly consent to your data being processed by Cenna™ for these purposes. Cenna™ operates under the same data protections described in our Privacy Policy. All AI-generated outputs are advisory only and are reviewed in the context of your individual coaching or learning relationship.

7. Intellectual Property

All content on the Platform — including but not limited to COREHUB™, ORU™, NOVA™, IntelliSkill™, CoachHub™, Cenna™, course materials, assessments, branding, and software — is the exclusive property of SkillVantage Enterprise and is protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership interest in the Platform or its content.

8. User Content

By submitting assessments, responses, or other content through the Platform ("User Content"), you grant SkillVantage Enterprise a non-exclusive, royalty-free, worldwide license to use, store, and process that content for the purpose of delivering and improving our services. You retain ownership of your User Content. You represent that you have the right to submit any content you provide and that it does not violate any third-party rights.

9. Payment & Subscriptions

• Certain features of the Platform may require a paid subscription or one-time payment. All fees are stated at the time of purchase.
• Payments are non-refundable unless otherwise stated or required by applicable law.
• We reserve the right to change pricing at any time with reasonable notice.
• You are responsible for all taxes applicable to your use of paid services.

10. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice, if we believe you have violated these Terms or if required by law. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property, disclaimers, and limitations of liability.

11. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SKILLVANTAGE ENTERPRISE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless SkillVantage Enterprise and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses arising out of your violation of these Terms or your use of the Platform.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and the state in which SkillVantage Enterprise operates, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration or in the courts of applicable jurisdiction.

15. Changes to These Terms

We may update these Terms at any time. When we do, we will revise the "Last Updated" date above. Your continued use of the Platform after any changes constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
